CF Canada E-Franchise Agreement

This is an e-Franchise Agreement (“Agreement”) is made between CF Canada (“Franchisor”), a registered Canadian company, and the Franchisee (“Franchisee”), and by joining as a “franchisee” CF Canada, you agree to these legal terms, and the Franchisee agrees to be bound by the terms and conditions outlined herein. Please read them carefully.

  1. Grant of Franchise

The Franchisor grants the Franchisee the non-exclusive right to operate a CF Canada educational franchise within the specified location and territory as agreed upon between the parties. The franchisee may provide CF Canada’s courses and services through the Franchisor’s Learning Management System (LMS).

  1. Non-Refundable Franchise Fee

The Franchisee agrees to pay a one-time, non-refundable franchise fee at the time of signing of franchise Agreement. This fee covers the right to use CF Canada’s brand, curriculum, and access to the LMS, but is non-refundable under any circumstances.

  1. Student Enrolment Fee

For any student enrolled at the Franchisee’s center or through the Franchisee’s efforts, the Franchisee agrees to pay a student enrolment fee to CF Canada, as per the structure outlined in the accompanying Franchise Fee Schedule. The exact percentage of the enrolment fee is subject to the terms of the franchise agreement and may be updated periodically.

  1. No Liability for Failure to Start Business

The Franchisor shall not be held responsible or liable for any failure on the part of the Franchisee to start or operate the business successfully, or for any delays in opening the Franchisee’s location. The Franchisee is solely responsible for setting up, operating, and managing the business.

  1. No Guarantee of Business Success

The Franchisor does not guarantee the success of the Franchisee’s business. Business success is dependent on multiple factors, including market conditions, effort, local management, and other external elements beyond CF Canada’s control. The Franchisee acknowledges that no representations have been made regarding financial performance or guarantees of success.

  1. No Immigration or PR Guarantee

By signing this Agreement, the Franchisee acknowledges and agrees that this franchise relationship does not provide any guarantee or assurance of permanent residency (PR) or immigration to Canada, in any form or by any means. CF Canada does not offer immigration services, and this franchise agreement does not, in any way, facilitate or support immigration status, work visas, or PR for the Franchisee or any individual associated with the Franchisee’s business.

  1. Branding and Advertisement Responsibility

The Franchisee is solely responsible for all costs related to branding, advertising, and promotional efforts within their city’s limits. This includes maintaining the CF Canada brand standards and ensuring that all marketing and advertising materials comply with the Franchisor’s guidelines. The Franchisee must receive approval from CF Canada for any local advertisements or marketing materials prior to distribution.

  1. False Promises and Misleading Advertising

The Franchisee agrees not to make false promises or misleading advertisements about the CF Canada franchise, the services offered, or the outcomes of enrolling in the programs. Any deceptive marketing practices will be grounds for immediate termination of this Agreement, and legal action may be taken against the Franchisee for breach of contract and damages.

  1. Franchisee’s Obligations

The Franchisee agrees to:

  • Operate the franchise in good faith and in compliance with CF Canada’s operational standards.
  • Maintain the confidentiality of CF Canada’s proprietary information, including but not limited to course materials, curriculum, and business processes.
  • Ensure all courses are delivered with the quality expected by CF Canada and meet the curriculum standards.
  1. Use of Intellectual Property

The Franchisee is granted a license to use CF Canada’s intellectual property, including trademarks, logos, and course content, strictly in connection with the operation of the franchise. Any unauthorized use of CF Canada’s intellectual property will be considered a breach of this Agreement.

  1. Territory Restrictions

The Franchisee may only operate the franchise within the designated geographical area agreed upon. The Franchisee is not authorized to expand or operate outside of this designated territory without prior written consent from CF Canada.

  1. Franchise Support

CF Canada will provide initial training, operational guidance, and access to the LMS. Additional support may be available to the Franchisee at the Franchisor’s discretion. Ongoing operational support is available but is not guaranteed beyond initial setup.

  1. Compliance with Local Laws

The Franchisee agrees to comply with all local, provincial, and federal laws in the operation of the franchise, including those related to business licensing, taxes, and employment regulations.

  1. Franchisor’s Right to Monitor

CF Canada reserves the right to monitor the Franchisee’s operations, marketing materials, and financial records to ensure compliance with the terms of this Agreement. The Franchisee agrees to provide all requested documentation and cooperate with such monitoring efforts.

  1. Termination of Agreement

This Agreement may be terminated by CF Canada in the event of a breach of its terms, including but not limited to failure to pay fees, false advertising, or failure to maintain operational standards. Upon termination, the Franchisee must immediately cease using CF Canada’s intellectual property and close the franchise location.

  1. Post-Termination Obligations

Upon termination, the Franchisee agrees to:

  • Immediately return all CF Canada materials, documents, and proprietary information.
  • Cease using CF Canada’s name, trademarks, and branding.
  • Settle any outstanding fees or obligations under the specific and respective Franchise Agreement signed between franchisor and franchisee.
  1. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the term of the franchise relationship, including business plans, financial data, and customer information.

  1. Indemnification

The Franchisee agrees to indemnify and hold harmless CF Canada, its officers, employees, and affiliates from any claims, damages, losses, or liabilities arising out of the Franchisee’s actions or omissions during the term of this Agreement.

  1. Force Majeure

CF Canada shall not be held liable for any failure to perform its obligations under this Agreement due to unforeseen events such as natural disasters, strikes, war, government actions, or any other events beyond its reasonable control.

  1. Entire Agreement and Detailed Agreement

This Agreement is a basic outline of the Franchisee’s rights and obligations. A more detailed, binding franchise agreement will be signed by the Franchisee and CF Canada that will govern all the terms and conditions specific to the individual franchisee’s location and operation. Any terms outlined in this basic Agreement may be further defined and clarified in the detailed franchise agreement that will be provided to the Franchisee.

  1. Acknowledgment and Acceptance

By joining us as our franchisee, the franchisee acknowledges that they have read, understood, and agree to the terms and conditions of this Agreement. The franchisee further acknowledges that the franchisor makes no guarantees regarding the success of the franchisee’s business venture and that the fee paid towards acquiring the franchisee or any associated services, and training services is non-refundable.

By entering into this E-Franchise Agreement, the Franchisee acknowledges and agrees to the terms and conditions outlined above. The Franchisee further confirms that they have reviewed and fully understand the obligations and responsibilities involved in operating a CF Canada franchise.

This e-Franchise Agreement can be made available for electronic signing on CF Canada’s website, ensuring that both parties can sign and execute the contract digitally.
